By downloading, installing, or using the Rootwise App ("App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App.
These Terms constitute a legally binding agreement between you and Rootwise Holdings, LLC, a Michigan limited liability company ("Rootwise," "we," "us," or "our").

Rootwise is a personal productivity and organizational tool. It is not a medical device, does not provide medical advice, and does not create a provider-patient relationship.
You must be at least 18 years old to use the App. By using the App, you represent and warrant that you meet this requirement. The App is intended for use in the United States.
To use the App, you must create an account with a valid email address and password. You are responsible for:
We reserve the right to suspend or terminate accounts that violate these Terms.
You are solely responsible for obtaining all necessary consents before recording any appointment.
Laws governing the recording of conversations vary by state and jurisdiction. Some states require the consent of all parties to a conversation before it may be recorded (all-party consent states). It is your responsibility to understand and comply with applicable recording laws in your jurisdiction and the jurisdiction of the party being recorded.
Before any recording begins in the App, you must affirmatively acknowledge the recording disclosure. By proceeding past that disclosure, you represent that:
Rootwise is not responsible for your failure to obtain required consents or for any legal consequences arising from your use of the recording feature.
The App does not provide medical advice, diagnosis, or treatment. The summaries, task lists, and other content generated by the App are organizational tools only — they are not a substitute for professional medical judgment.
Always seek the advice of a qualified healthcare provider with questions about your health. Never disregard professional medical advice or delay seeking it because of something generated by the App. In a medical emergency, call 911 or your local emergency number immediately.
You agree not to:
The App, including its design, features, AI models, and content, is owned by Rootwise Holdings, LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights in the App beyond the limited license to use it as described herein.
You retain ownership of the content you input into the App (intake information, summaries, task lists). By using the App, you grant Rootwise a limited license to process your content solely for the purpose of providing the App's features to you.
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.
The App may integrate with or reference third-party services, including your device's calendar application. Your use of third-party services is governed by their own terms and privacy policies. Rootwise is not responsible for the practices of any third-party service.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOTWISE HOLDINGS, LLC AND ITS OWNERS, OFFICERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. If these laws apply to you, some or all of the above limitations may not apply.
You agree to indemnify, defend, and hold harmless Rootwise Holdings, LLC and its owners, officers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App ceases immediately. Sections 6, 11, 12, 13, 15, and 16 survive termination.
You may delete your account at any time through the App settings or by contacting us at privacy@rootwisehealth.org.
These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law principles.
Any dispute arising from these Terms or your use of the App shall be resolved exclusively in the state or federal courts located in Oakland County, Michigan. You consent to personal jurisdiction in those courts.
